Overview
Michael has been assisting farmer cooperatives and public and private companies in agriculture, renewable energy and renewable transportation fuels industries with tax credits, carbon credits and LCFS markets, mergers & acquisitions, public and private securities offerings, governance and entity structuring matters, strategic planning, and tax planning and government policy initiatives since 1995.
He has extensive experience advising cooperatives, corporations, limited liability companies and other business clients, primarily in the food and agribusiness and renewable energy and transportation fuels industries, in a wide range of matters, including cooperative law, business structuring, governance, equity structures and monetization transactions, joint ventures, capital formation and debt financing, federal financial assistance and compliance programs, public and private securities offerings and mergers and acquisitions.

Representative Transactions
- Minnesota Soybean Processors (MnSP) - Represented MnSP, a privately held cooperative that owns and operates a soybean crushing and bio-diesel refining facility located in Brewster, Minnesota, in the formation of a joint venture with CGB Enterprises, Inc. (CGB), a privately owned provider of agricultural services headquartered in Covington, Louisiana, for the construction of a state-of-the-art soybean processing plant near Casselton, North Dakota. North Dakota Soybean Processors, LLC, jointly owned by CGB and MnSP, will own and operate the new facility.
- Lakeview Energy, LLC - Represented Lakeview Energy, LLC, a privately held renewable energy company based in Chicago, Illinois, in the sale of a capital investment to Orion Energy Partners L.P., a privately held credit and equity capital solutions for energy transition and environmental innovation in infrastructure based on New York, New York.
- Glacial Lakes Energy, LLC - Represented Glacial Lakes Energy, LLC, a privately held renewable energy ethanol production facility headquartered in Watertown, South Dakota, in the purchase of substantially all of the assets, including two ethanol plants located in Aberdeen and Huron, South Dakota from Advanced Bioenergy, LLC and its subsidiary ABE South Dakota, LLC, a publicly held renewable energy company based in Aberdeen, South Dakota.
