The SEC’s New EDGAR Filer Management Website Goes Live on March 24, 2025 and Filers Should Enroll No Later than September 12, 2025

  • ALL EXISTING EDGAR FILERS, including registrant companies and their Section 16 filers, must enroll in EDGAR Next between March 24, 2025, and September 12, 2025 using their existing CIK number, CCC number and passphrase.
  • EDGAR filers must select an individual to enroll the filer and create the roles detailed in this article.
  • Existing EDGAR filers can continue to enroll between September 15, 2025, and December 19, 2025 but they will not be able to submit EDGAR filings beginning September 15, 2025, until enrollment is complete.
  • After December, 19, 2025, EDGAR filers that have not enrolled will need to apply for EDGAR access as a new filer with a notarized Form ID application.
  • Every EDGAR filer will be issued a new CCC at the time of enrollment which will replace the filer’s existing ccc.
  • Every EDGAR filer will need to assign two account administrators and each account administrator must have a login.gov account with the United States government.

EDGAR Next Goes Live March 24, 2025

On September 27, 2024, the Securities and Exchange Commission (SEC) approved a new filer access and account management system called EDGAR Next, via significant amendments to Rules 10 and 11 of Regulation S-T, along with updates to Form ID and the EDGAR Filer Manual. These changes are designed to modernize and enhance the security of the SEC's filing system.

On March 24, 2025, the EDGAR Next amendments will be effective, and filers will be able to begin enrolling for EDGAR Next. Filers can also continue using the current EDGAR system until September 15, 2025.

Key Dates

  • Enrollment opens March 24, 2025
    • To avoid interruption in the ability to file, filers should enroll between March 24, 2025 and September 12, 2025.
  • Compliance with EDGAR Next is required to file on EDGAR as of September 15, 2025
    • Beginning September 15, 2025, filers may continue to enroll, but filers that have not enrolled or been granted access to EDGAR Next on or after March 24, 2025 will be unable to file on EDGAR until they enroll.
  • Enrollment ends at 10 p.m. on December 19, 2025
    • Enrollment ends at 10 p.m. on December 19, 2025. After December 19, 2025, filers that have not enrolled (or been granted access to EDGAR Next after submitting amended Form ID on or after March 24, 2025) will not be able to file on EDGAR or otherwise access their accounts unless they submit a Form ID application for EDGAR access that is granted by SEC staff.

Designated Roles

Under EDGAR Next, filers (which for SEC registrants include each company and each of their officers and directors) are required to designate individuals to serve in the following roles: account administrator, user, technical administrator, delegated administrator and delegated user. The SEC’s Adopting Release (SEC Release No. 33-11313) provides the following chart depicting the key functions of each role:

As a preliminary matter, it will be necessary to identify the population of filers, including the company and its directors and officers, and to gather existing filing codes (CIK, CCC and passphrase) for each filer. Then companies should identify:

  • 2-20 account administrators for each filer;
  • 2 technical administrators for filers who use the optional application program interfaces (APIs), unless a delegated entity already has;
  • Users (who may file on behalf of filers) overseen by account administrators; and
  • Delegated entities (law firms, financial printers and others who may file on behalf of filers).

Enrollment

Filers can begin enrolling in EDGAR Next on March 24, 2025. Enrollment is a streamlined process that allows EDGAR filers to transition to EDGAR Next without completing Form ID, notarizing documents, or presenting a power of attorney to the SEC. Filers can manually enroll individual EDGAR accounts or bulk enroll multiple EDGAR accounts simultaneously. Bulk enrollment allows enrollment of up to 100 filers per submission.

EDGAR filers must enroll in EDGAR Next regardless of whether they are using a filing agent or other third-party service provider to file, but these service providers may provide crucial support in transitioning filers to EDGAR Next, so we are encouraging our clients to coordinate with them early on in the planning stages.

Steps for enrollment:

  1. Before enrolling, the filer should determine whom the filer will authorize to enroll it and to ensure that no one else enrolls the filer without authorization.
  2. The person authorized to enroll the filer must have Login.gov individual account credentials. For more information, please watch SEC staff’s Obtaining individual account credentials instructional video on the SEC’s YouTube channel.
  3. The person authorized to enroll the filer will log into the dashboard with Login.gov individual account credentials.
  4. On the dashboard, the person authorized to enroll the filer will enter the filer’s CIK, CCC, and passphrase, as well as the following information for each account administrator listed: name, email address, business address, and business telephone number. The person will also select a confirmation date by which the filer will confirm the accuracy of information about the filer’s EDGAR account, which will be required on an annual basis going forward. The choices will be March 31, June 30, September 30, and December 31. The SEC also provides a bulk enrollment option, and the person enrolling the filer should be prepared to indicate whether the filer is a single-member entity on the enrollment spreadsheet.
  5. Filers who have not reset their CCC and/or passphrase since September 2019 or filers who do not have their current CCC and/or passphrase need to reset their EDGAR filing codes prior to enrollment.
  6. If enrollment is successful, a pop-up success message will appear, and the account administrators listed during enrollment will receive both an email and a notification on the dashboard that they are the account administrators for the filer.

Thereafter, the account administrators can log into the dashboard with Login.gov credentials and manage the filer’s account.

After Enrollment

EDGAR Next requires individual logins and multifactor authentication from each filer, including each company and each of their officers and directors. EDGAR Next will eliminate the current practice of enabling a filing agent to make filings by sharing the filer’s EDGAR login credentials. Instead, EDGAR Next will require account administrators for both the filer and the filing agent to take a variety of actions to delegate and accept authority to make filings.

After a filer enrolls, the account administrators authorized during enrollment should proceed to set up the filer’s account on the dashboard. This may include inviting users, technical administrators and additional account administrators, and delegating authority to file to delegated entities, including but not limited to filing agents.

In addition, please be aware that enrollment will automatically reset the filer’s CCC, which EDGAR will continue to require in order to file. The CCC will be visible on the filer’s dashboard on the EDGAR Filer Management website after enrollment to all those authorized on the dashboard. The filer should ensure that the filer’s account administrators add relevant individuals and/or delegate authority to relevant entities that file on the filer’s behalf on the EDGAR Filer Management dashboard immediately after enrollment so that filing may continue uninterrupted after enrollment.

Filing on EDGAR

Until September 12, 2025, filers can file on the existing EDGAR Filing and Online Forms websites in the same way they do now.

Beginning on Monday, September 15, 2025, the EDGAR Next dashboard will be the only way for filers and filing agents to access the EDGAR filing system or a filer’s EDGAR filer account. This will apply to every means of making filings or accessing the EDGAR filing system, including filing through filing agents or use of filing software or the SEC’s internet filing websites.

Filings can be made only by individuals who have been previously authorized by the filer’s account administrator using the filer’s EDGAR Next dashboard. Therefore, filing agents can make filings for a filer only through one of the persons who are identified as a user or account administrator on the filing agent’s EDGAR Next dashboard. It is important for filers to coordinate with any filing agents and other third parties that have been involved in making filings for a filer before initiating the enrollment process, in order to identify filing agent individuals who should be authorized to make filings.
