Overview
Jia advises and represents clients in a variety of corporate and securities law matters.
Jia’s practice focuses on representing issuers, underwriters, and investors on public and private securities offering, including IPO, SPAC, following-on offering and PIPE. She also assists public and private companies in their corporate transactions, including merger and acquisitions.
Jia’s experience includes advising several China-based and U.S. domestic issuers going public in the U.S. In addition, Jia counsels U.S. and FPI public companies with respect to 34 Act periodic reporting obligations and corporate governance issues.Experience

- Regularly represent underwriters in initial public offerings for various issuers.
- Represented NASDAQ-listed education technology company to $22M note offering.
- Represented China-based Nasdaq Global Market-listed issuer in shelf take down of convertible notes and warrants offering.
- Represent pharmaceutical companies in initial public offerings and follow-on offerings.
- Represented NASDAQ-listed education technology company in $11.5M underwritten offering of its Class A Common Stock, pursuant to a registration statement on S-1.
- Represented a China-based medical equipment manufacturing company on its public offering on Nasdaq*
- Represented a Hong Kong-based printing company on its public offering on Nasdaq*
- Represented two Nevada companies on their SPAC offering*.
