Under the Hart-Scott-Rodino (HSR) Act, mergers and acquisitions that meet certain “size” criteria must be reported to the US Department of Justice and Federal Trade Commission before the parties can close their deal. Whether reportable or not, an M&A transaction can create antitrust risk and can result in an antitrust investigation.
