The plaintiff, a founder and former executive of a medical records retrieval company, claimed fraud and breach of fiduciary duties in the redemption by the company of his ownership interest. The court denied all efforts to limit discovery and compelled the production of privileged communication between counsel and the Board of Directors about the strategy for redeeming the plaintiff’s shares. In a complete victory for our clients, the judge ruled from the bench that the plaintiff’s complaints failed as a matter of law.
