Overview

JON IS AN EXPERIENCED, BUSINESS-FOCUSED M&A LAWYER. HE PROVIDES PRACTICAL, ACTIONABLE STRATEGIC ADVICE TO BOARDS OF DIRECTORS AND EXECUTIVES INVOLVED IN M&A TRANSACTIONS.

Jon is a partner in the Mergers and Acquisitions practice group. Jon represents purchasers and sellers in mergers and acquisition transactions, including negotiated business combinations and contested acquisition transactions. Jon’s experience in this area includes advising boards of directors and special committees. Recent engagements include advising Novanta in its acquisition of Motion Solutions and Carlisle Companies in several carve-out transactions as part of its pivot to a pure-play construction materials company. Resident in Dorsey’s Toronto office from 2002 through 2004, Jon advises clients on U.S. law aspects of U.S.-Canada mergers and acquisitions transactions. Jon also advises public and private companies on general corporate matters. Jon is a member of the Mergers and Acquisitions Committee of the ABA’s Business Law Section and is a contributor to the committee’s thought leadership projects, including the widely consulted deal points studies. Jon’s interests outside of the office include watching his sons play high school sports, cross-country skiing, preparing smoked meats, and curling.

Representing a private-equity consortium as local Minnesota counsel in its proposed $6.2 billion acquisition of ALLETE, Inc., a publicly traded energy company.

Represented Carlisle Companies Incorporated, publicly traded manufacturer of building envelope products, in multiple transactions including:

Represented Cardiovascular Systems, Inc., a publicly traded medical device company, in its sale to Abbott for $890 million.

Represented Novanta Inc., a publicly traded global supplier of core technology solutions to medical and industrial OEMs, in its acquisition of Motions Solutions for $189 million.

Represented TAK Communications, a national provider of communications and broadband infrastructure services, in a transaction with a fund affiliated with Platinum Equity.

Represented U.S. Bancorp, a publicly traded financial services holding company, in its acquisition of TravelBank.

Represented Instapage, a developer of landing page design tool, in its sale to airSlate.

Represented MacArthur Co., an ESOP-owned building products distributor in its acquisition of American Metals Supply Co., an ESOP-owned distributor of sheet and coil steel, prefabricated duct fittings and HVAC products.
